These Terms of Service govern use of this website and of the bookkeeping services provided by Deswood Accounting LLC, 2498 W 2650 N, Clinton - 84015-8317, United States (US). By visiting the website or engaging the desk, you agree to these terms. Please read them in full, because they describe the responsibilities of the desk and of the client that make a steady bookkeeping relationship possible.
The terms are written in plain language and are intended to be read alongside any signed engagement letter. Where an engagement letter sets a different rule for a specific service, the engagement letter controls for that service. Where these terms and the engagement letter are silent, these terms apply.
If you do not agree to these terms, please do not use the website and do not send records to the desk.

Acceptance of Terms
These terms become binding when you use the website, submit the contact form, send records to the desk or sign an engagement letter. If you are acting for a company, you confirm that you have authority to bind that company, and the company is the client for the purposes of these terms.
You confirm that you are at least eighteen years of age and legally able to enter a contract. If you are not, you must not use the services and should ask a parent or guardian to contact the desk instead.
These terms replace any prior discussion about the same subject unless a signed engagement letter says otherwise. No conversation, message or marketing material changes these terms unless the change is confirmed in writing by the desk.
Description of Services
Deswood Accounting LLC operates a bookkeeping desk offering six core services: ledger maintenance, reconciliation sprints, payroll run weeks, quarter close days, receipt audit sessions and filing season evenings. A detailed description of each service appears on the services page and forms part of the understanding between the desk and the client.
The desk provides bookkeeping and related support services. It does not provide legal advice, investment advice or an opinion on the value of a business, and it does not act as an auditor or as a certified public accountant unless a separate written arrangement expressly says so. Where a matter requires a licensed professional in another field, the desk will say so and the client should seek that advice independently.
Services are delivered remotely and, where useful, from the office at 2498 W 2650 N. The method of delivery does not change the standard of care described in these terms.
Engagement and Scope
Every engagement begins with a plain reading of the current books and a written desk plan. The desk plan sets the weekly schedule, the chart of accounts, the close calendar and the services in scope. Work outside the plan is a change of scope and is scheduled and priced before it begins.
The engagement letter records the client, the services selected, the start date, the fee basis and the period covered. Any change to those items is confirmed by email or in a revised letter. Verbal requests that are not confirmed in writing may be declined or deferred until the confirmation is complete.
The desk may decline an engagement that falls outside its expertise, that requires the handling of records the desk cannot secure, or that would conflict with an existing client. A decision to decline is not a judgment about the business and will be explained honestly.
Client Responsibilities
The client is responsible for providing complete and accurate records in a timely manner. The desk depends on what it receives, so a late bank statement or an incomplete receipt file will delay a close and may change the schedule agreed in the plan.
- Provide records and documents needed for the services on the agreed schedule.
- Review and approve closed periods, payroll runs and filings within the stated window.
- Notify the desk promptly of any change in ownership, banking, payroll or legal structure.
- Keep login credentials current and grant the desk access through secure methods only.
- Confirm that the client has the right to share any third party information provided.
- Pay invoices in accordance with the fee schedule agreed.
The client remains responsible for the accuracy of the information it supplies and for decisions made on the basis of reports prepared by the desk. The desk will flag anything that looks inconsistent, but it cannot audit every underlying transaction unless a specific service for that purpose has been engaged.
Desk Responsibilities
The desk will perform the agreed services with the reasonable skill and care expected of a professional bookkeeping practice. Each service is run from a written checklist, assigned to a named desk lead and reviewed by a second person before it is released to the client.
The desk will maintain the confidentiality of client records as described in the confidentiality section, keep the workspace secure and communicate openly about delays, questions and risks. When a figure cannot be supported, the desk will say so rather than smoothing it over.
The desk will respond to client questions within a reasonable time and will confirm by email any material decision that affects the books. If a staff member changes, the desk will hand the account to a named successor and make the change known to the client.
Fees and Payment
Fees are stated in the engagement letter and may be set as a fixed monthly retainer, a fee per service or an hourly rate for agreed work. The basis of the fee will be clear before work begins, and any change will be agreed in writing.
Invoices are issued on the schedule stated in the engagement letter and are payable within the period shown on the invoice. Payments may be made by the methods listed there. The desk will send a reminder if an invoice is overlooked, and it reserves the right to pause non urgent work where an invoice remains unpaid after a reasonable reminder.
Fees do not include government filing charges, software subscription costs or third party disbursements, which are billed separately at cost or as stated. Where a filing is required urgently outside the agreed window, a rush surcharge may apply if it is disclosed before the work begins.
Scheduling and Deadlines
The desk plan sets regular dates for posting, reconciliation, payroll, closes and filing support. Dates are chosen to leave room for the review and approval steps that follow, and the client will receive a schedule each period that shows what is due and when.
Filing season evenings are scheduled in advance and confirmed by email. A missed appointment can usually be moved once without disruption, but repeated changes may move the client to the next available slot rather than the original one.
Statutory deadlines are the responsibility of the client to know, though the desk will remind clients of the dates that affect the services engaged. If records arrive too late to meet a deadline, the desk will do what is reasonable to help but cannot guarantee a filing made after the cutoff.
Records and Access
Records shared with the desk are kept in a secure folder with access limited to authorized staff. The client retains ownership of its own records at all times and may request a copy of the working files at any point during or after the engagement.
On request, the desk will return or provide the books, source documents and workpapers produced during the engagement in a standard format. Records are retained after the engagement ends for the period required by law, as described in the privacy policy, and are then securely destroyed.
The desk may keep copies of workpapers needed to defend a filing or to meet a professional obligation. Any such copy is held under the same confidentiality rules that applied during the engagement.
Confidentiality
The desk treats all client information as confidential. Staff may access records only to deliver the services, and access is limited to the desk lead and the reviewer for quality control. Records are not disclosed to any other client or to the public.
Information may be shared with a service provider only as needed to deliver a service, under a written agreement that limits use to that purpose. It may also be shared with the client authorized representatives, with a bank or tax authority at the client direction, or where required by law.
The obligation of confidentiality continues after the engagement ends. It does not apply to information that is already public through no fault of the desk, or to information the client authorizes the desk to disclose in writing.
Software and Third Party Platforms
The desk works inside the software the client has chosen, and it may recommend a platform where a client has none. Each platform is governed by its own terms, and the client remains responsible for its own account, its credentials and its subscription.
The desk is not responsible for an outage, a change of features or a change of pricing imposed by a third party platform. If a platform change affects the services, the desk will tell the client and propose a workable alternative.
The client should grant access through the platform permissions designed for collaboration and should revoke access when the engagement ends. The desk will remove its own access promptly when it is no longer needed.
Accuracy and Reliance
The desk prepares its reports from the records it receives. Reports are believed accurate at the time they are issued, but they depend on the completeness of those records and on the correct operation of the software in use. The desk cannot guarantee an outcome that depends on information it has not seen.
Reports are prepared for the client and for the purpose stated in the engagement. They should not be relied on by a third party without the written agreement of the desk, because a third party may not understand the assumptions behind the figures.
If an error is discovered, the desk will correct it promptly, explain how it happened and adjust any affected report. The client should report suspected errors as soon as they are noticed so that the matter can be resolved before a filing or a decision depends on it.
Intellectual Property
The content of this website, including its text, layout, styles and code, belongs to Deswood Accounting LLC and is protected by applicable law. You may view the site and print a page for personal reference, but you may not copy, republish or redistribute the content for commercial purposes without written permission.
Workpapers and reports prepared for a client are provided for the client use in accordance with the engagement. The desk retains ownership of its own templates, checklists and internal methods, which may be used again for other clients.
Any feedback a client offers about the website or the services may be used by the desk to improve its work without obligation to the person who provided it.
Website Use
You may use this website for lawful purposes only and in a way that does not damage, disable or impair it for others. You may not attempt to gain unauthorized access to any part of the site or to any server or database connected to it.
In particular, you may not use automated tools to scrape the site, submit fraudulent messages through the contact form, or introduce malicious code. The desk may suspend access where misuse is detected and may report serious misuse to the appropriate authority.
Prohibited Conduct
When engaging the desk, you agree not to ask the desk to prepare, alter or file records that are false or misleading, and not to withhold documents that would change a report. The desk will decline work that appears intended to misstate a position and will end an engagement where a client insists on it.
You may not use the services to violate the law, to submit records obtained unlawfully or to interfere with another person rights. You may not impersonate another person or business when contacting the desk.
Any attempt to bribe, threaten or improperly influence the desk in its professional work is prohibited and will end the engagement immediately.
Termination
Either party may end the engagement by giving written notice as set out in the engagement letter. Fees for work completed up to the termination date remain payable, and any records held by the desk are returned or made available as described in the records section.
The desk may end an engagement immediately where the client fails to pay after reasonable reminders, where the client asks the desk to act unlawfully, or where continuing would create a professional or legal risk. In such a case the desk will explain the reason in writing and will hand over the working records needed for a smooth transition.
Ending an engagement does not remove the obligation of either party with respect to confidentiality, outstanding fees or records retention.
Limitation of Liability
To the extent permitted by law, the desk is not liable for indirect, incidental, special or consequential loss arising from the use of the website or the services. This includes loss of profit, loss of business or loss arising from a third party platform failure, provided the desk acted with reasonable care.
Where liability cannot be excluded, the total liability of the desk for a claim arising from an engagement is limited to the fees paid by the client for the service that gave rise to the claim during the period stated in the engagement letter. Nothing in these terms limits liability for fraud or for any matter that cannot be limited by law.
The client agrees to notify the desk of a claim promptly and to cooperate in resolving it, so that any error can be corrected before loss grows.
Indemnification
You agree to indemnify and hold Deswood Accounting LLC, its staff and its service providers harmless from any claim, loss or expense arising from information you provide that is false, incomplete or unlawfully obtained, from your breach of these terms, or from your use of a report outside the purpose for which it was prepared.
The desk will notify you promptly of any claim for which it seeks indemnity and will cooperate in the defense, provided you pay the reasonable costs of that defense and do not settle a matter in a way that unfairly affects the desk. This section does not apply to the extent the claim arises from the negligence of the desk.
Governing Law and Disputes
These terms are governed by the laws of the State of Utah, United States, without regard to conflict of law rules. The courts located in Utah have exclusive jurisdiction over any dispute, and both parties agree to that jurisdiction.
Before beginning any formal proceedings, both parties agree to try to resolve a dispute through direct discussion in good faith. If discussion does not resolve the matter, either party may refer the dispute to mediation with a neutral mediator chosen jointly, and the costs of that mediation will be shared.
Any provision of these terms found unenforceable will be limited to the extent needed to make it valid, and the remaining provisions will continue in full effect.
Changes to These Terms
The desk may update these terms from time to time to reflect a change in services, a change in law or an improvement in how work is done. A revised version will be published on this page with a new effective date, and active clients will be notified of material changes by email.
An update does not change the terms of an engagement already signed unless the engagement letter is also revised. Continued use of the website after a revised version is published means that you accept the revision for future use.
You are encouraged to read this page occasionally so that you always know which rules apply.
Contact
Questions about these terms should be sent to the desk directly. The desk answers within a few working days during normal business hours.
